Terms of Service

These Terms of Service govern your access to and use of the DraftCollab application. By creating an account and participating in collaborations, you agree to comply with the rules and guidelines detailed below.
1. Eligibility
•
You must be at least 18 years old and have the legal capacity to enter binding agreements to register, list campaigns, or apply for collaborations on DraftCollab.
2. Creator Rules
•
Authenticity: Creators must connect a genuine Instagram or YouTube account. Falsifying statistics or engagement is prohibited and may result in suspension.
•
Collab Commitments: Once you accept a collaboration, you're expected to post approved content within the agreed timeline; unapproved delays are prohibited.
•
Content Visibility: Collaboration posts must stay public for at least 30 days after posting unless otherwise agreed with the Business. Premature archiving/deletion is a violation of these Terms.
•
Ongoing Social Verification & 14-Day Grace Period: Access to verified campaign listings and proposals requires an active connected Instagram or YouTube account. If social authentication is revoked or disconnected, users are granted a 14-day grace period to reconnect. Failure to reconnect within 14 days results in the temporary pausing of verified marketplace privileges until re-verification is completed.
3. Business Rules
•
Campaign Accuracy: Listings must clearly state requirements, compensation, and deliverables. Bait-and-switch listings are prohibited.
•
Delivery of Agreement: Once a proposal is accepted, the Business must deliver agreed products, services, or payouts in a timely manner.
•
Review & Approval: Businesses must review Creator drafts within 72 hours, with constructive feedback or approval.
4. External Collaboration, Payments & Barter — Non-Liability
•
All monetary payments, product shipments, service redemptions, and barter exchanges happen directly between the Business and the Creator. DraftCollab is solely a discovery and communication platform and never handles, holds, escrows, or guarantees any payment or barter fulfilment.
•
DraftCollab is not responsible for payment defaults, delayed payouts, non-delivery of barter goods/services, or breach of collaboration terms between users. Such disputes must be resolved directly between the parties. DraftCollab is not a party to any agreement between users.
•
Our support team may review in-app workspace logs to enforce community guidelines (e.g., banning fraudulent accounts), but this does not amount to arbitration, legal advice, or financial compensation of any kind.
5. Content Ownership & License
•
On completion of a campaign, the Business is granted a royalty-free, non-exclusive license to reshare the Creator's verified content on the Business's own social channels for organic marketing.
•
The Business may not sell the content or use it in paid advertising unless separately negotiated with the Creator in writing.
6. Prohibited Content & Code of Conduct
•
Users may not post or share spam, sexually explicit content, hate speech, unlicensed copyrighted material, or content promoting illegal activity. Harassment, abuse, or attempted fraud will result in immediate content removal and may lead to account suspension, consistent with our due-diligence obligations as an intermediary under the IT Rules, 2021.
7. Grievance Redressal (Intermediary Obligations)
•
As an intermediary hosting user content under the IT Rules, 2021, we maintain a Grievance Officer (see Privacy Policy Section 9) who will acknowledge complaints about content or conduct within 24 hours and resolve them within 15 days.
8. Account Termination & Privilege Pausing
•
We reserve the right to suspend, restrict, or terminate accounts for violations of these Terms. Terminated users lose access to active campaigns, workspaces, and matching features.
•
Privilege Pausing upon Unresolved Disconnection: In the event of social account disconnection, failure to re-authenticate within the 14-day grace period will result in verified features (viewing/applying to campaigns, verified community posting) being paused until the user re-verifies their account.
9. Dispute Resolution & Limitation of Liability
•
Marketplace Model: DraftCollab is solely a matchmaking marketplace. We are not liable for the quality of work, delivery failures, shipping issues, or off-platform financial losses arising from deals between users.
•
Liability Cap: Except as set out below, DraftCollab's aggregate liability arising from your use of the Services is limited to ₹0 (zero), reflecting that we are a free matchmaking service that does not handle payments or fulfilment between users.
•
Carve-Outs: This cap does not limit DraftCollab's liability for (a) our own gross negligence or wilful misconduct, (b) a breach of our data security obligations under this Privacy Policy resulting in unauthorised disclosure of your personal data, or (c) liability that cannot be excluded under Indian law (including the Consumer Protection Act, 2019).
10. Indemnification

You agree to indemnify and hold DraftCollab harmless from claims, losses, or damages arising from (a) your breach of these Terms, (b) your off-platform dealings with another user (including payment or barter disputes), or (c) content you post on the platform. This indemnification obligation does not extend to losses caused by DraftCollab's own breach of these Terms or applicable law.
11. Modification of Terms
•
We may update these Terms at any time. We will notify users of material changes via email or in-app announcement at least 30 days before they take effect. Continued use after that date constitutes acceptance.
12. Force Majeure
•
DraftCollab is not liable for delays or failures in the Services caused by events beyond our reasonable control, including natural disasters, internet or cloud-provider outages, government action, or third-party API (Meta/Google) downtime.
13. Severability
•
If any provision of these Terms is found unenforceable by a court or the Data Protection Board of India, the remaining provisions continue in full force.
14. Entire Agreement
•
These Terms, together with the Privacy Policy, constitute the entire agreement between you and DraftCollab regarding the Services, superseding any prior agreements on the subject.
15. Governing Law & Jurisdiction
•
These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.
